Welcome to the Durrani & Co terms of Business (“Terms”) which govern the professional accounting, tax, and advisory services provided by Durrani & Co (“we,” “us,” or “our”) to you (“the client”).
By engaging our services, signing an engagement letter, or using our website (durranico.co.uk), you agree to be bound by these Terms.
Professional Status & Statutory Compliance
- Company Status: Durrani Co is a registered Limited Company in England and Wales.
- Professional Regulation: We are regulated and bound by the professional conduct rules, ethical guidelines, and monitoring requirements of both the Association of Chartered Certified Accountants (ACCA) and the Association of Accounting Technicians (AAT).
- Anti-Money Laundering (AML): Under UK Money Laundering Regulations, we are legally required to verify the identity of our clients and beneficial owners. We will request identity documents and proof of address before any professional work commences.
- Professional Indemnity: We maintain mandatory professional indemnity insurance in accordance with ACCA and AAT regulatory requirements.
Scope of Services & Cloud Software
- Engagement Letter: The specific accounting, payroll, VAT, or corporate tax services we provide will be strictly defined in a separate, personalized Engagement Letter.
- Cloud Accounting Software: We utilize Xero and QuickBooks to deliver our cloud accounting services.
- Software Subscriptions: Where software subscriptions are bundled into our fees, you agree to abide by the end-user license agreements of Xero and QuickBooks. We accept no liability for data loss or service outages caused directly by these third-party platforms.
- No Audit Assurances: Unless expressly stated in writing, our services do not include a statutory audit. We rely on the information you provide and do not independently verify its absolute accuracy.
Client Obligations & Data Provision
- Accurate Information: You are legally responsible for the completeness, accuracy, and legality of all records, financial data, and explanations provided to us.
- Deadlines: You must submit all required files, receipts, invoices, and digital bank feeds to us within the timeframes specified by our team.
- Late Submission Consequences: We accept no liability for tax penalties, interest, or regulatory fines from HMRC or Companies House arising from your failure to supply documents on time.
Fees, Billing & Payment Terms
- Pricing Structure: Fees are billed either as a fixed monthly retainer or on a fixed-project basis, as detailed in your Engagement Letter.
- Payment Terms: Standard invoices are payable within 14 days of issue. Retainer payments are collected via Direct Debit or standing order on an agreed recurring date.
- Late Payments: We reserve the right to suspend all professional work, withhold submission of returns to HMRC or Companies House, and charge statutory interest if invoices remain unpaid.
Data Protection, GDPR & Confidentiality
- Data Processing: We act as a Data Processor under the UK GDPR and Data Protection Act 2018. Your personal and corporate financial data is processed securely and solely to deliver our services.
- Confidentiality: We maintain strict professional confidentiality regarding your business affairs as mandated by the ACCA and AAT codes of ethics.
- Legal Exceptions: We will not disclose your information to third parties without your consent, except where required by law, court order, or reporting duties to HMRC or the National Crime Agency (NCA).
Termination of Engagement
- Notice Period: Either party may terminate the professional engagement by giving 30 days’ written notice, unless a different duration is stated in your Engagement Letter.
- Final Billing: Upon termination, an invoice will be issued for all work completed up to the termination date.
- Handover: We will cooperate with a professional clearance request from your new accountant once all outstanding fees are settled in full.
Limitation of Liability
- Liability Cap: To the maximum extent permitted by English law, our total liability for any loss or damage arising from professional negligence or breach of contract is capped at the amount specified in your Engagement Letter.
- Third Parties: Our advice is prepared solely for you as our client. We accept no liability to any third party who relies on our work without our prior written consent.
Applicable Law & Dispute Resolution
- Jurisdiction: These Terms and any dispute arising from them are governed exclusively by the laws of England and Wales.
- Disputes: In the event of a complaint, we operate an internal dispute procedure in line with ACCA and AAT guidelines. Both parties agree to attempt to resolve the matter amicably before pursuing court proceedings.
